G8 Education Limited (ASX: GEM), Australia’s largest for-profit early childhood education and care provider, has seen its shares downgraded by multiple firms amid concerns about occupancy rates and potential liabilities related to alleged criminal activity. The downgrades reflect a cautious outlook for the company in the near term, and have seen GEM fall 35% since the start of this year.
Whilst the downgrades are clearly not a positive, there remains plenty of perceived upside to the revised prices, such has been the rate of descent in the stock.
G8 Education’s share price has accelerated it’s decline since late June, falling 26.7% since that point as sentiment has turned. On July 3, the stock fell approximately 7.3% to A$1.00, following Macquarie Group’s downgrade of the stock from ‘Outperform’ to ‘Neutral’.
Canaccord Genuity also downgraded G8 Education to Hold from Buy, lowering its price target from A$1.49 to A$1.06. While Canaccord anticipates an improved occupancy outlook in calendar year 2026, the firm expressed uncertainty about near-term share price appreciation due to a challenging operating environment and potential liabilities stemming from alleged criminal activity involving a former employee.

Macquarie, in its downgrade, reduced its 12-month price target by 25% from A$1.53 to A$1.15 and adjusted its 2025 occupancy forecast downward to 65.0% from 65.7%.
G8 Education addressed concerns regarding the timing of its disclosure related to the allegations against the former employee at the Creative Garden Point Cook center. The company stated that it became aware of the incident on the same day the police announced the charges and believed the information was already public. The Australian Securities Exchange (ASX) questioned the company’s decision to delay a formal market announcement until July 2, 2025.
Analysts suggest that the near-term performance of G8 Education’s shares will likely be influenced by its ability to address occupancy concerns and manage potential legal liabilities. The current price targets from Macquarie (A$1.15) and Canaccord (A$1.06) still reflect some upside from the current share price (A$0.86), but the market sentiment remains cautious.
