Codan shares (ASX: CDA) suffered their worst single-day decline in months on Tuesday, plunging 9.38% to A$39.80 as a major block trade triggered profit-taking after the stock’s extraordinary rally to all-time highs. The shares led the ASX 200 laggards as volume surged to 15.63 million shares, more than 26 times the daily average and one of the heaviest trading sessions in memory. The sharp reversal came just one day after Codan touched a record high at A$44.52, capping a remarkable 12-month run that has seen the shares gain nearly 145% even after Tuesday’s pullback.

The sell-off was triggered by reports that a block of approximately 8 million Codan shares changed hands at A$39 per share, valuing the transaction at roughly A$312 million. Market sources indicated the seller was Pamela Wall, widow of Codan co-founder Ian Wall and the company’s largest individual shareholder, who divested approximately 23% of her holding in the off-market transaction.

The block trade cleared at a discount to Monday’s close of A$43.92, a pricing structure typical of large institutional transactions but one that nonetheless weighed on sentiment. From a technical perspective, the stock had been flashing warning signs, with the Relative Strength Index climbing to 74 ahead of Tuesday’s session, well into overbought territory. The day’s action has since cooled the RSI back into normal range, potentially setting the stage for a more sustainable base.

What Has Been Driving Codan Shares?

The timing of the selldown is particularly notable given Codan’s recent operational momentum. Just last week, on 1 May, the company delivered a significant earnings upgrade that sent shares soaring and attracted a wave of momentum-driven buying. Management guided that fiscal 2026 EBIT is now expected to exceed fiscal 2025 results by more than 60%, a material upward revision that underscored the strength across both of Codan’s core divisions.

The Communications segment, which supplies tactical radio and satellite communications equipment primarily to defence and government customers, achieved a 30% profit margin milestone ahead of the company’s previously stated timeline. This margin expansion validates Codan’s strategic pivot toward higher-value defence technology and demonstrates that revenue growth is translating into genuine operating leverage rather than low-margin volume gains.

Meanwhile, the Minelab metal detection division continues to benefit from elevated gold prices and robust exploration activity, particularly in key markets including Africa and Australia. The dual-engine growth model combining cyclical strength in gold detectors with structural tailwinds in defence communications, has been the foundation of the bull thesis that drove shares from the low-teens to the mid-forties over the past year.

Codan’s half-year fiscal 2025 results, released in February, showed revenue climbing approximately 29% to A$393 million, with net profit after tax surging 52%. The company has since built on that momentum with sequential trading updates that have repeatedly exceeded market expectations, forcing analysts to chase their price targets higher throughout the rally.

Outlook

Large block trades are a normal feature of equity markets, particularly after extended rallies when long-term shareholders seek to rebalance portfolios or manage estate planning considerations. The fact that 8 million shares found institutional buyers at A$39 suggests there remains significant demand for Codan stock among professional investors, even at valuations well above historical norms.

However, the sharp intraday reversal and extreme volume also highlight the risks inherent in momentum-driven rallies. When a stock attracts performance-chasing capital and pushes into overbought territory, any catalyst, even one unrelated to fundamentals can trigger rapid unwinding of crowded positions. Tuesday’s action appears to be precisely that dynamic playing out in real time.

From a fundamental perspective, nothing in the block trade changes Codan’s underlying earnings trajectory or the structural drivers supporting both divisions. Defence budgets across Western nations continue to expand, creating a multi-year tailwind for communications equipment suppliers. Gold prices remain elevated, and exploration activity shows no signs of abating. The company’s recent margin achievements suggest management is executing well on operational initiatives.

Yet valuation remains a legitimate concern for prospective buyers. After a 145% rally and significant multiple expansion, Codan now trades at a premium to both its historical range and many technology sector peers. The market has effectively priced in the upgraded fiscal 2026 guidance, leaving little room for disappointment. Any future miss, even a minor one, could trigger a more sustained correction given the heightened expectations now embedded in the share price.

The A$39 level where the block cleared may now serve as a technical reference point for traders. If the stock can stabilise around current levels and digest the supply overhang, it would demonstrate that institutional appetite remains intact despite the premium valuation.

Codan’s next major test will come with its full fiscal 2026 results, expected later this year, when markets will assess whether the company can deliver on its upgraded guidance and provide visibility for continued growth into fiscal 2027. Until then, Codan shares are likely to remain volatile as short-term traders and long-term holders reassess risk-reward at these elevated levels. Tuesday’s pullback serves as a reminder that volatility works both ways, and that even stocks with strong fundamentals can experience sharp corrections when sentiment shifts and large sellers emerge after extended rallies.
